Framlyn Terms of Service

These Terms of Service ("Terms") govern access to and use of the Framlyn marketplace, mobile applications, websites, APIs, administration tools, and related services operated by Framlyn Inc. ("Framlyn", "we", "our", or "us") (collectively, the "Service").
By creating an account, selecting an acceptance box, placing an order, listing products, or otherwise using a feature that requires acceptance, you agree to these Terms. Browsing without an account is also subject to provisions that reasonably apply to browsing.
If you do not agree, do not use the service.
Our Privacy Policy explains how we handle personal information. By using the Service, you acknowledge that you have read it. Consent to collect, use, or disclose personal information is obtained separately or contextually where required by law.
Important marketplace notice: Unless checkout expressly identifies Framlyn as the seller, the seller shown on the listing and order confirmation is responsible for the goods sold. Framlyn provides marketplace and payment-facilitation services. These Terms do not limit rights or remedies that cannot lawfully be waived, including mandatory consumer-protection rights.
- Who May Use Framlyn
You may create an account, place an order, or operate a seller storefront only if:
- you have reached the age of majority in your province or territory and can form a binding agreement
- you provide accurate account information
- you comply with these Terms and all applicable laws
You are responsible for all activity under your account.
The Service is intended for users in Canada and is offered only in provinces and territories Framlyn designates. Features, products, and seller eligibility may vary by location. A person acting for a business represents that they have authority to bind it.
- Framlyn Marketplace Role
Framlyn operates a marketplace that connects customers with farms and other approved sellers offering physical goods.
Unless expressly stated otherwise:
- Framlyn is not the grower, producer, or manufacturer of goods listed by farmers
- Framlyn is not responsible for a seller's statements about quality, freshness, legality, or availability
- Framlyn facilitates marketplace operations, order processing, notifications, and payment infrastructure
- the sales contract for a seller's goods is between the customer and that seller, except where applicable law provides otherwise
- Framlyn may act as a seller's limited payment-collection agent; payment to Framlyn or its provider discharges the customer's payment obligation to the seller to the extent successfully received
- Customer Accounts
Customers may:
- browse farms and products
- save addresses and payment methods
- place orders for pickup or delivery where available
- receive order updates and notifications
Customers agree to:
- provide accurate account and address information
- use valid payment methods
- treat farmers and platform staff respectfully
- not abuse, scrape, attack, or interfere with the service
- inspect pickup, meetup, delivery, allergen, storage, preparation, and product information and contact the seller when information is unclear
- Orders and Payments
Customers authorize Framlyn and its payment providers to process charges associated with orders, including applicable fees and taxes where required.
Before confirmation, checkout displays the seller, items, quantities, subtotal, discounts, taxes, fulfillment charges, platform or service charges, payment-processing charges, and total. Where required, it also provides seller contact information and applicable payment, delivery, cancellation, refund, and exchange terms. Any represented total includes mandatory non-government charges to the extent required by law. Customers can review, correct, or cancel the transaction before submission.
Submitting an order is an offer to purchase from the identified seller. An automated acknowledgement confirms receipt, not necessarily acceptance. An order is accepted when the seller or Framlyn sends an acceptance or preparation confirmation, captures payment, or otherwise clearly confirms acceptance. The order confirmation and terms shown at checkout form part of the agreement for that order.
A temporary authorization may be placed on a payment method. Payment timing and statement descriptors may depend on the provider and financial institution. Framlyn makes an electronic confirmation or receipt available promptly after acceptance and within any period required by law.
Orders may be canceled, rejected, refunded, or adjusted in situations including:
- pricing or inventory errors
- unavailable products
- suspected fraud
- failed payment authorization
- fulfillment or safety concerns
Refund, cancellation, substitution, and dispute outcomes depend on order status, product type, the seller policy disclosed before purchase, fulfillment facts, payment-provider rules, and applicable law. Perishable or safety-sensitive goods may not be returnable after handoff unless defective, misdescribed, unsafe, or otherwise subject to a legal remedy. A seller must not substitute a materially different product without approval unless the customer selected a substitution preference. Nothing in these Terms limits a non-waivable consumer right.
- Pickup, Meetup, Delivery, and Confirmation
Customers must provide accurate fulfillment details and collect or receive orders during the stated window. Sellers are responsible for the fulfillment options they advertise. Where used, a delivery or pickup confirmation code or record may be required to confirm handoff, calculate payout eligibility, or resolve a dispute. Location, timing, or fulfillment information is not a guarantee of availability or travel conditions.
Confirmation evidence may include a code, photograph, timestamp, signature, location record, or other handoff evidence. Title and risk of loss pass as provided by applicable law and the disclosed fulfillment terms.
- Marketplace Content and Availability
Product availability, pickup windows, delivery areas, and farm information may change at any time. Framlyn does not guarantee that any listing, farm, or feature will always be available.
- Communications
By using Framlyn, you agree that we may send:
- account and security messages
- order confirmations and order update messages
- review and verification notices
- billing and subscription notices
- service-related push notifications and emails
You remain responsible for keeping your email and device notification settings current.
Framlyn sends promotional electronic messages only with consent or another basis permitted by law. Promotional messages include required sender information and an unsubscribe method. Marketing opt-out does not stop necessary account, security, order, subscription, payout, recall, or support communications.
- Acceptable Use
You may not:
- violate laws or regulations
- impersonate another person or business
- upload false, misleading, unlawful, or harmful content
- interfere with the app, backend, or other users
- attempt unauthorized access to accounts, systems, or data
- reverse engineer, scrape, or abuse the platform
- use Framlyn to facilitate fraud, spam, charge abuse, or marketplace manipulation
- list, purchase, deliver, or facilitate prohibited, unsafe, recalled, counterfeit, mislabelled, or unlawfully regulated goods
We may suspend, restrict, or terminate access if we believe conduct violates these Terms or creates risk for users or the platform.
- Reviews, Feedback, and User Content
If you submit reviews, comments, listings, or other content, you are responsible for what you submit. You grant Framlyn a non-exclusive right to host, display, reproduce, and use that content in connection with operating and improving the service.
You must not submit content that is unlawful, deceptive, defamatory, infringing, or abusive.
You retain ownership of your content. The licence above is worldwide, non-exclusive, royalty-free, sublicensable only as needed to operate the service, and lasts while the content is hosted plus a reasonable backup or legal-retention period. You represent that you have the rights needed to grant this licence. Framlyn may moderate or remove content but is not required to monitor all content.
- Privacy
Your use of Framlyn is also governed by the Framlyn Privacy Policy.
- Intellectual Property
Framlyn and its related branding, software, interfaces, design, text, graphics, data compilations, and platform materials are owned by or licensed to Framlyn Inc. Subject to these Terms, Framlyn grants you a limited, personal, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose. These Terms do not grant ownership of Framlyn intellectual property.
- Third-Party Services
The service may use or link to payment, payout, mapping, notification, cloud-storage, email, and other third-party services. Their availability and separate terms may affect a feature. Framlyn is not responsible for third-party services beyond obligations that cannot lawfully be excluded.
- Disclaimers
Framlyn is provided on an "as is" and "as available" basis to the maximum extent permitted by law.
We do not guarantee:
- uninterrupted access
- error-free operation
- that all content is complete or accurate
- that all sellers or products will meet your expectations
- Limitation of Liability
To the maximum extent permitted by law, Framlyn Inc. and its affiliates, officers, directors, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunity arising from or related to your use of Framlyn.
For claims that may lawfully be limited, Framlyn's aggregate liability arising from the same facts is limited to the greater of:
- CAD $100, or
- amounts you paid directly to Framlyn, excluding amounts paid to sellers, during the 12 months before the event giving rise to the claim
These exclusions and limits do not apply to fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, breach of confidentiality or privacy where liability cannot lawfully be limited, or a refund, statutory remedy, or liability that applicable law prohibits Framlyn from limiting.
- Indemnity
You agree to indemnify Framlyn Inc. and its affiliates, officers, directors, employees, and service providers against third-party claims, losses, and reasonable costs to the extent caused by:
- your unlawful use of Framlyn
- your knowing or material violation of these Terms
- your violation of law or the rights of another person
- content or information you submit
This does not require you to indemnify Framlyn for Framlyn's own negligence, breach of these Terms, or unlawful conduct, and does not apply where prohibited by consumer law.
- Suspension, Account Closure, and Termination
We may suspend or terminate access to the service at any time if reasonably necessary for security, legal compliance, fraud prevention, policy enforcement, or operational reasons.
You may stop using Framlyn at any time.
You may schedule account deletion from the Delete Account section in your Framlyn profile, the public account-deletion webpage, or through support@framlyn.com. A confirmed request has the recovery period displayed when it is submitted, which is 30 days by default, and may be cancelled before the displayed deletion date. Framlyn may change the recovery-period setting prospectively, but a change does not alter the scheduled deletion date for an existing request. Farmer storefronts are hidden during this period. Permanent deletion or anonymization waits for blocking open orders and subscriptions to be resolved.
Closure does not affect completed transactions, amounts owed, disputes, chargebacks, payouts, recalls, or records retained under the Privacy Policy. Restricted farmer and marketplace sales, tax, accounting, platform-reporting, payout, invoice, refund, chargeback, attestation, audit, fraud, safety, dispute, and legal records are generally retained for at least six years from the end of the tax year or calendar year to which they relate. A record is retained longer only where another legal requirement, unresolved audit, dispute, investigation, recall, litigation matter, or active legal hold requires it. Retained records are not used as an active profile or for marketing.
- Changes to the Service or Terms
We may change, suspend, or discontinue parts of the service. We may also update these Terms. We will post an updated date and provide additional notice for material changes where required. Changes do not apply retroactively unless legally permitted. Continued use after the effective date means you accept the revised Terms where that method of acceptance is permitted by law.
Preview or beta features may be incomplete and may change or be withdrawn.
- Disputes
Before starting a formal claim, please contact support@framlyn.com and provide enough detail for us to try to resolve the matter. This informal step does not prevent either party from seeking urgent relief or using a consumer-protection process. These Terms do not require arbitration and do not waive class proceedings or court rights that cannot lawfully be waived.
- Governing Law
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules. Ontario courts have non-exclusive jurisdiction. This does not deprive a consumer of mandatory protections or another forum where applicable law requires or permits it.
- Electronic Records and Notices
You agree to receive agreements, order records, receipts, and notices electronically through the Service or the contact information associated with your account, subject to applicable law. Electronic acceptance has the same effect as a handwritten signature where legally valid. You may retain these Terms by downloading or printing them.
- General
If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; Framlyn may transfer them as part of a merger, financing, reorganization, or sale of the business or service. These Terms, the Privacy Policy, applicable Seller Terms, and policies presented at checkout or within a feature form the agreement for the service.
Sections that by their nature should survive closure remain effective, including payment obligations, intellectual property, disclaimers, liability limits, disputes, and lawful data retention.
