Framlyn Farmer and Seller Terms

These Farmer and Seller Terms ("Seller Terms") apply to every farm, producer, merchant, or other seller that applies for, creates, or operates a storefront on the Framlyn marketplace operated by Framlyn Inc.
These Seller Terms supplement the Framlyn Terms of Service. If there is a conflict between the general Terms of Service and these Seller Terms for seller activity, these Seller Terms control for that activity.
Seller responsibility: A seller remains legally responsible for its business, products, claims, licences, taxes, food-safety and recall duties, customer fulfillment, and use of customer information. Framlyn's approval or document review is not a government licence, inspection, certification, endorsement, or guarantee of legal compliance.
- Seller Eligibility and Approval
To sell on Framlyn, you must:
- have reached the age of majority, be able to enter into a binding agreement, and have authority to act for the farm or business
- provide accurate account and farm information
- submit requested onboarding and verification materials
- complete payout setup when required
- comply with marketplace policies and applicable law
- maintain required licences, permits, registrations, certifications, exemptions, tax accounts, and insurance
Submitting an application or creating a farm profile does not guarantee approval. Framlyn may approve, reject, pause, or request additional information for any seller application.
- Manual Review and Verification
Framlyn may require sellers to submit information and documents for review, including:
- government ID
- proof of address
- farm photos
- business or farm documents
- payout onboarding information through Stripe or a similar provider
- legal entity, tax, registration, licence, permit, exemption, food-safety, and product-eligibility information or attestations
Framlyn may:
- request updates or clearer documentation
- reject documents that appear incomplete, inconsistent, altered, or suspicious
- place a seller into pending review, needs action, or rejected status
- re-open review if a seller changes key profile or verification data
- retain versioned tax-profile snapshots and attestations, including timestamps, IP address, user agent, and related audit metadata
You authorize Framlyn to verify submitted information with payment providers, public registries, regulators, certification bodies, insurers, or other appropriate sources where permitted by law. You must promptly report material ownership, payout, tax, licence, product, location, or risk changes.
- Seller Representations
You represent and warrant that:
- you are authorized to operate the farm or business you list
- information you submit is complete and accurate
- goods listed by you are lawful to sell and fulfill
- you hold every registration, licence, permit, approval, and insurance required for your products and operations, or qualify for any exemption you claim
- your listings, claims, and images are truthful and not misleading
- you will fulfill orders in a professional, lawful, and safe manner
- all claims, photographs, labels, certifications, and attestations are current, substantiated, and not misleading
- products are genuine, safe, fit for their represented purpose, and not adulterated, recalled, counterfeit, stolen, or prohibited
- you maintain records needed for recall, traceability, tax, audit, and dispute processes
You operate an independent business. Nothing in these Seller Terms creates employment, partnership, joint venture, franchise, fiduciary, or general agency between you and Framlyn.
- Listings and Product Content
You are responsible for your:
- product names
- descriptions
- pricing
- photos
- inventory availability
- pickup and fulfillment information
- quantities, units, ingredients, allergens, warnings, storage and preparation instructions, origin, certification claims, and other legally required content
You must not upload or list:
- unlawful, unsafe, counterfeit, or prohibited goods
- deceptive listings
- stolen content or images you do not have rights to use
Do not make false or unsubstantiated organic, health, origin, freshness, ingredient, treatment, production, inspection, licensing, or certification claims. Display all mandatory seller charges and do not use drip pricing or add a fixed mandatory charge only after the customer has committed, except government-imposed charges shown as law permits.
Framlyn may edit, limit, hide, or remove listings that violate policy or create marketplace risk.
- Orders and Fulfillment
You are responsible for:
- monitoring incoming orders
- maintaining reasonable inventory accuracy
- updating order status promptly
- preparing goods as described
- honoring pickup or delivery commitments you offer
- maintaining safe handling, packaging, labelling, storage, allergen, traceability, recall, and consumer-notice practices required for your products
- keeping pickup, meetup, delivery-region, schedule, and fulfillment instructions accurate
- obtaining customer approval before a materially different substitution unless the customer selected a substitution preference
- using handoff codes, photographs, signatures, and delivery records honestly and only for the relevant order
- providing reasonable support for missing, damaged, unsafe, spoiled, or misdescribed goods
Framlyn may notify customers when you update order status. Repeated delays, cancellations, non-fulfillment, or poor service may result in restrictions or removal from the platform.
5.1 Safety Incidents and Recalls
Immediately stop selling affected products and promptly notify Framlyn if you learn of a recall, contamination, suspected foodborne illness, serious allergen error, prohibited product, regulatory action, or other material safety issue. Cooperate with notices, traceability, customer outreach, refunds, evidence preservation, product withdrawal, and lawful regulator requests. Framlyn may notify users, restrict listings, cancel orders, delay payouts, or take other protective action without waiting for a final investigation where reasonably necessary for safety.
- Payout Setup
Framlyn currently uses Stripe or related connected-account services for seller payout onboarding and payment routing.
You appoint Framlyn as your limited payment-collection agent solely to receive customer payments for Framlyn orders, issue authorized refunds, deduct disclosed amounts, and arrange transfer of net proceeds through the applicable provider. Payment to Framlyn or its provider satisfies the customer's payment obligation to you to the extent successfully received.
You understand and agree that:
- third-party payout providers may collect information directly from you
- payout providers may conduct their own identity, business, tax, or compliance checks
- payouts may be delayed, withheld, or restricted if required by the payout provider, law, risk review, or policy enforcement
Framlyn does not control third-party payout-provider decisions.
- Fees and Subscription Billing
Framlyn may charge sellers fees for storefront access, subscriptions, payment processing, marketplace services, or other seller features.
Current pricing and seller billing structure may include:
- an introductory free period
- a monthly storefront fee
- future adjustments to paid plan structure
- optional featured-placement charges, taxes, processing charges, discounts, and marketplace or transaction fees disclosed before purchase or activation
If you enroll in a paid seller plan:
- you authorize the applicable payment provider to charge the payment method you provide
- you are responsible for maintaining a valid payment method
- missed, failed, disputed, or reversed charges may result in a past-due or suspended storefront status
Framlyn may change seller pricing with reasonable notice to the extent required by applicable law.
The purchase screen controls price, currency, taxes, billing period, trial, renewal, cancellation, refund terms, and billing provider. Physical-goods transactions and digital seller features may use different billing systems. Digital features purchased in an iOS or Android app may be billed by Apple or Google where their rules require; web purchases may be billed by Stripe or another provider.
Unless the purchase screen states otherwise, subscriptions renew automatically for the displayed billing period until cancelled through the identified provider or account method. Cancellation takes effect at the end of the current paid period, subject to applicable law. Fees already charged are non-refundable except where the purchase screen, provider rules, or law requires. Removing the app, stopping storefront activity, or closing a Framlyn profile does not itself cancel an Apple, Google, Stripe, or other third-party subscription.
- Refunds, Disputes, and Chargebacks
Framlyn may investigate customer complaints, disputes, refunds, or chargebacks related to seller activity. We may request information from you and may take action where needed, including:
- reversing or adjusting amounts where contractually or legally required
- holding or delaying payouts
- restricting seller access
- removing listings
Net seller proceeds equal successfully collected amounts less disclosed fees, processing charges, taxes Framlyn must collect or remit, refunds, chargebacks, reversals, reserves, adjustments, and other amounts owed. Payout timing is an estimate. Framlyn may establish a reasonable reserve or set off amounts owed where permitted. No interest is payable on held amounts unless required by law.
8.1 Taxes, Records, and Invoices
You are responsible for identifying, registering for, collecting, reporting, and remitting taxes applicable to your business and sales, except taxes Framlyn expressly states it will calculate, collect, report, or remit. Provide accurate tax information and invoices or receipts required by law. Framlyn may withhold or report amounts and provide transaction records to tax authorities or payment providers where permitted or required.
- Suspension, Restrictions, and Removal
Framlyn may suspend, restrict, or terminate a seller account or storefront if we determine, in our discretion, that the seller:
- failed verification
- submitted misleading or false information
- violated law or marketplace policy
- engaged in fraud, abuse, or suspicious conduct
- created unacceptable customer or platform risk
- failed to keep subscription or billing obligations current
- Data and Privacy
Seller use of Framlyn is subject to the Framlyn Privacy Policy. Sellers must also protect customer information received through orders and may only use that information as necessary to fulfill orders and provide related customer support.
Sellers must not:
- export or misuse customer data
- contact customers outside legitimate order-related reasons without permission
- sell or disclose customer information
- add customers to mailing lists without valid consent
Notify Framlyn promptly of suspected loss, misuse, or unauthorized access involving Framlyn customer information. Sellers are independently responsible for privacy and anti-spam obligations arising from their operations.
- No Guarantee of Volume or Revenue
Framlyn does not guarantee approval, continued access, seller traffic, customer demand, order volume, revenue, profitability, search ranking, featured-placement performance, or results.
- Disclaimer and Liability
To the maximum extent permitted by law, Framlyn provides seller access on an "as is" and "as available" basis. Framlyn is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, goodwill, business interruption, listing performance, payout-provider decisions, or marketplace demand fluctuations, except as required by law.
For seller claims that may lawfully be limited, Framlyn's aggregate liability arising from the same facts will not exceed the greater of CAD $500 and seller fees paid directly to Framlyn during the 12 months before the event giving rise to the claim. These limits do not apply to fraud, wilful misconduct, gross negligence, liability that cannot lawfully be limited, or amounts Framlyn must pay over to the seller.
- Indemnity
You agree to defend, indemnify, and hold harmless Framlyn Inc. and its affiliates, officers, directors, employees, and service providers from third-party claims, regulatory proceedings, recalls, losses, liabilities, penalties, and reasonable costs to the extent arising from:
- your listings, products, or business operations
- your violation of these Seller Terms or applicable law
- your interactions with customers
- your misrepresentations or verification failures
- your taxes, privacy practices, fulfillment, or customer interactions
This obligation does not apply to the extent a claim is caused by Framlyn's negligence, breach of agreement, or unlawful conduct.
- Customer Information and Privacy
Order information is provided only for fulfillment, customer support, refunds, recalls, safety, fraud prevention, and related legal obligations. Sellers must protect it, limit access to people bound by confidentiality and security duties, retain it only as necessary, and securely delete or anonymize it afterward. Sellers must not use it for unrelated marketing, sell it, add customers to mailing lists without valid consent, or disclose it except as legally permitted.
- Suspension, Withholding, and Closure
Framlyn may delay or withhold listing approval, order acceptance, subscription benefits, refunds, transfers, or payouts where reasonably necessary to investigate fraud, chargebacks, complaints, unsafe goods, inaccurate certifications, legal obligations, or payment-provider restrictions. Framlyn will release undisputed funds when the restriction is resolved, subject to reserves, set-offs, provider rules, and applicable law. Closing a storefront does not eliminate open orders, refunds, chargebacks, fees, tax obligations, or record-retention requirements.
When a seller schedules account deletion, Framlyn hides the storefront immediately and begins the recovery period displayed when the request is submitted, which is 30 days by default. Framlyn may change the recovery-period setting prospectively, but a change does not alter the scheduled deletion date for an existing request. The seller may cancel before the displayed deletion date. After the recovery period and resolution of blocking orders or subscriptions, Framlyn deletes or anonymizes ordinary account and public storefront data.
Framlyn retains restricted seller sales, order, payment, payout, invoice, tax, accounting, platform-reporting, refund, chargeback, tax-profile, attestation, recall, safety, fraud, audit, dispute, and legal records for at least six years from the end of the tax year or calendar year to which they relate. A record is retained longer only where another legal requirement, an unresolved audit, dispute, payment-provider matter, investigation, recall, litigation matter, or active legal hold requires it. These records remain access-restricted and are not used to continue the deleted storefront or for marketing.
- Changes to Seller Terms
We may update these Seller Terms from time to time. Continued seller use after the effective date of updated terms means you accept them.
- Governing Law and Disputes
Before starting a formal claim, contact support@framlyn.com with sufficient detail for investigation. This does not prevent urgent relief or regulatory processes. These Seller Terms are governed by Ontario law and the federal laws of Canada applicable in Ontario. Ontario courts have non-exclusive jurisdiction, subject to mandatory law.
